L&T Agrees to Transfer Data Center Business to Vyoma.AI

Larsen & Toubro signed agreements on August 11, 2026, to transfer its data center and cloud services business to wholly owned subsidiary Vyoma.AI for Rs 1,400 crore. Economic Times Telecom reports that the slump-sale transaction is targeted for completion by October 31, 2026, while a separate agreement transfers L&T Network Services to Vyoma.AI for Rs 30 crore.
Larsen & Toubro has executed a business transfer agreement to move its data center and cloud services business to its wholly owned subsidiary, Vyoma.AI, for Rs 1,400 crore. According to L&T's regulatory filing, as reported by Economic Times Telecom, the transfer is structured as a going-concern slump sale and is expected to close on or before October 31, 2026.
Vyoma.AI will issue fully paid equity shares with a face value of Rs 100 to L&T, with the allotment based on an independent valuation, Economic Times Telecom reported. The data center business recorded revenue from operations of Rs 36.6 crore in FY26 and had a net worth of Rs 1,142 crore, according to the same report.
Separate network-services transaction
L&T also signed a share purchase agreement with Vyoma.AI and L&T Network Services Private Limited (LTNSPL) for the sale of L&T's entire 100% stake in LTNSPL for Rs 30 crore, Economic Times Telecom reported. On closing, LTNSPL is set to become a direct wholly owned subsidiary of Vyoma.AI and an indirect wholly owned subsidiary of L&T.
Investywise likewise reported that both transactions are subject to closing conditions and that the consideration is to be settled through Vyoma.AI equity shares, subject to closing adjustments.
Infrastructure relevance
The transaction retains the transferred businesses within the L&T group while placing data center, cloud, and network-services assets under Vyoma.AI. Economic Times Telecom describes Vyoma.AI as a newly incorporated company established to create data centers and provide infrastructure and technology-enabled services.
For AI and data engineering teams, data center and cloud ownership structures can matter because they affect how infrastructure capacity, service portfolios, and enterprise procurement are organized. However, neither retrieved report provides technical details on capacity, accelerator hardware, cloud products, customer contracts, or AI-specific service commitments.
Key Points
- 1L&T agreed to transfer its data center and cloud services business to Vyoma.AI for Rs 1,400 crore through a slump sale.
- 2A separate Rs 30 crore agreement transfers L&T Network Services, consolidating network-services ownership under the same wholly owned subsidiary.
- 3The reports disclose transaction structure and timing, but provide no details on data center capacity, GPUs, cloud APIs, or AI workloads.
Scoring Rationale
The transaction is a notable infrastructure-business consolidation within a major Indian conglomerate, with relevance to cloud and data center markets. Its direct practitioner impact is limited by the absence of disclosed technical capacity, product, or AI service details.
